These Terms of Use (“Terms”) govern your access to and use of crwdcoffee.com (the “Website”), including purchases, customer accounts, wholesale inquiries, and other services offered through the Website. The Website is operated by Crowd Coffee Company LLC. By accessing the Website, creating an account, submitting information, or placing an order, you agree to these Terms. If you do not agree to these Terms, please do not use the Website.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account or place an order through the Website. By using the Website, you represent that the information you provide is accurate, current, and complete and that you have the legal capacity to enter into these Terms.

2. Customer Accounts

You may create a customer account to manage orders, addresses, account information, and other available features.

You are responsible for:

providing accurate and current account information;
maintaining the confidentiality of your login credentials;
restricting access to your account and devices;
all activity performed through your account.

You must notify us promptly at wholesale@crwdcoffee.com if you believe your account has been accessed or used without authorization.

We may suspend or terminate an account that contains false information, is used fraudulently, violates these Terms, or creates a security, legal, or operational risk.

Creating an account does not guarantee product availability, wholesale approval, special pricing, credit terms, or continued access to any particular feature.

3. Products and Product Information

We make reasonable efforts to present product descriptions, images, tasting notes, roast profiles, origins, sizes, availability, and prices accurately.

Coffee is an agricultural product. Natural variations may occur between harvests, lots, roast batches, and seasons. Tasting notes describe expected sensory characteristics and do not mean that flavoring ingredients have been added unless expressly stated.

Product images are provided for general reference. Packaging, labeling, color, appearance, and other product details may vary from the images displayed on the Website.

We may update, replace, limit, or discontinue products at any time without prior notice.

4. Orders and Acceptance

Submitting an order constitutes an offer to purchase the products in your cart. We reserve the right to accept, reject, limit, or cancel an order for reasons including:

product availability;
incorrect pricing or product information;
suspected fraud or unauthorized activity;
payment authorization problems;
shipping restrictions;
technical, inventory, or fulfillment errors;
violation of these Terms.

An automated order confirmation acknowledges that we received your order. It does not necessarily mean that the order has been accepted. An order is accepted when payment is approved and the order is processed.

If we cancel an order after payment has been received, we will issue a refund to the original payment method.

5. Prices, Payments, and Taxes

All prices are displayed in U.S. dollars unless otherwise stated. Prices may change without notice.

The price charged will be the price displayed at checkout when the order is submitted, except in the case of an obvious pricing, listing, or technical error.

Payments are securely processed through Authorize.net and its participating financial institutions and payment networks. By submitting payment information, you authorize Crowd Coffee Company LLC and its payment service providers to charge the total amount displayed at checkout to your selected payment method.

Crowd Coffee Company LLC does not directly store complete payment card numbers or card security codes. Payment transactions may be subject to authorization, fraud screening, and approval by the card issuer and payment processor.

Applicable state and local sales taxes, shipping charges, and other fees will be calculated based on the products purchased, the delivery address, and applicable law and will be displayed at checkout when required.

You are responsible for taxes, duties, fees, or charges imposed in connection with your purchase unless applicable law requires otherwise.

6. Shipping and Delivery

We currently focus on customers and wholesale partners in New York, but we may accept and ship orders to other locations within the United States where service is available.

Available shipping methods, delivery options, and charges will be displayed at checkout or communicated separately for wholesale orders.

Orders are generally prepared for shipment within 1–3 business days. Estimated delivery times displayed at checkout begin after the order has been processed and are not guaranteed. Wholesale fulfillment schedules may be agreed upon separately.

Delivery delays may occur because of carriers, weather, service interruptions, incorrect addresses, high order volume, or circumstances outside our reasonable control.

Customers are responsible for providing a complete and accurate shipping address. Additional charges resulting from an incorrect or incomplete address may be the customer’s responsibility.

Risk of loss passes to the customer when the order is delivered to the address provided, except where applicable law requires otherwise.

If an order is marked as delivered but cannot be located, please contact the carrier and then notify us at wholesale@crwdcoffee.com so that we can review the situation.

7. Returns, Refunds, and Order Problems

Because roasted coffee is a perishable and consumable product, we generally cannot accept returns or provide refunds based solely on personal taste, preference, or a change of mind.

If your order arrives damaged, defective, or incorrect, contact us within 7 days of delivery and provide:

your name;
your order number;
a description of the problem;
photographs of the product and packaging when applicable.

After reviewing the request, we may offer a replacement, store credit, partial refund, or full refund where appropriate.

Approved refunds will be issued to the original payment method. Once approved and submitted, refunds typically appear within 3–5 business days, although timing may vary depending on the customer’s financial institution.

Shipping charges are generally non-refundable unless the order was incorrect, damaged, or defective because of an error for which we are responsible.

Nothing in this section limits any consumer rights that cannot be waived under applicable law.

8. Wholesale Accounts and Inquiries

Businesses may submit wholesale inquiries or request samples through the Website.

Submitting an inquiry does not create a wholesale relationship or guarantee approval, pricing, availability, samples, credit terms, delivery service, or exclusivity.

Wholesale terms may be discussed separately based on the needs of the business. Any separate written wholesale agreement or approved account terms will control if they conflict with these general Terms.

Unless otherwise agreed in writing:

there is no minimum wholesale order;
orders are placed through the Website;
prices and conditions may vary based on the arrangement;
samples are subject to approval and availability;
account access and wholesale privileges may be changed or discontinued.

Wholesale customers are responsible for maintaining accurate business, tax, billing, delivery, and contact information.

Wholesale customers purchasing products for resale may be required to provide a valid resale certificate or other applicable tax documentation.

Products purchased at wholesale may not be repackaged, relabeled, altered, or represented in a false or misleading manner without our written permission.

9. Promotions and Discount Codes

Promotions and discount codes may be subject to separate conditions, expiration dates, product restrictions, geographic restrictions, and usage limits.

Unless otherwise stated, discounts:

cannot be combined;
have no cash value;
cannot be applied retroactively;
may be modified or discontinued at any time.

We may cancel a discount or promotional order if we reasonably believe the promotion was used fraudulently or contrary to its stated conditions.

10. Acceptable Use

You may not:

use the Website for unlawful, fraudulent, or abusive purposes;
attempt to access another customer’s account;
attempt to gain unauthorized access to the Website or related systems;
interfere with the operation or security of the Website;
introduce malicious code or harmful technology;
use automated methods to scrape or copy Website content without permission;
impersonate another person or business;
submit false account, payment, wholesale, or contact information;
use our trademarks or content without authorization;
purchase products for unlawful or fraudulent purposes.

We may restrict access to the Website when reasonably necessary to protect customers, our business, payment providers, or third parties.

11. Intellectual Property

The Website and its content—including the CROWD COFFEE name, logos, product names, photographs, graphics, packaging, text, design, video, and software—are owned by or licensed to CROWD COFFEE and are protected by applicable intellectual property laws.

You may use the Website only for personal use or legitimate business purchasing purposes.

Nothing in these Terms transfers ownership of or grants a license to our intellectual property except for the limited right to access and use the Website in accordance with these Terms.

12. Reviews and Submitted Content

If you submit a review, photograph, comment, testimonial, or other content, you represent that:

you created it or have permission to share it;
it is accurate and not misleading;
it does not violate another person’s rights;
it is not unlawful, defamatory, abusive, or deceptive.

You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and adapt submitted content in connection with our Website, products, and marketing, subject to applicable law.

We may remove submitted content at our discretion but are not obligated to monitor all submissions.

13. Third-Party Services and Links

The Website may contain links to or integrations with third-party services, including Authorize.net, financial institutions, payment networks, shipping carriers, social media platforms, analytics providers, and other websites.

We do not control and are not responsible for the content, availability, security, or privacy practices of third parties. Your use of third-party services may be governed by their own terms and privacy policies.

14. Website Availability

We do not guarantee that the Website will always be available, uninterrupted, secure, or error-free.

We may modify, suspend, restrict, or discontinue any part of the Website, including account and shopping features, for maintenance, security, operational, legal, or business reasons.

15. Disclaimer of Warranties

To the fullest extent permitted by law, the Website and its content are provided on an “as is” and “as available” basis.

We disclaim warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.

16. Limitation of Liability

To the fullest extent permitted by law, Crowd Coffee Company LLC and its owners, employees, contractors, representatives, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the Website or purchase of products.

Where liability cannot be excluded, our total liability relating to a particular order will not exceed the amount you paid for that order, except where applicable law requires otherwise.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

17. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Crowd Coffee Company LLC and its owners, employees, contractors, and representatives from claims, losses, liabilities, damages, and expenses arising from:

your violation of these Terms;
your misuse of the Website;
your infringement of another person’s rights;
fraudulent or unlawful activity conducted through your account.

18. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Any dispute that cannot be resolved informally will be brought in a court of competent jurisdiction located in New York, unless applicable consumer law requires another forum.

Before filing a claim, you are encouraged to contact us so that we can attempt to resolve the matter.

19. Changes to These Terms

We may update these Terms periodically. The updated version will be posted on the Website with a revised effective date.

Changes apply prospectively from the date they are published unless applicable law requires otherwise. Your continued use of the Website after updated Terms become effective constitutes acceptance of the updated Terms.

20. Severability and Waiver

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

Our failure to enforce a provision is not a waiver of our right to enforce it later.
